1 Acceptance of Terms
By accessing or using the Globex Sky platform, website, mobile application, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Services.
These Terms constitute a legally binding agreement between you ("User," "Buyer," "Supplier," or "Carrier," as applicable) and Globex International Trade Co., Ltd. (广州戈洛贝克斯凯国际贸易有限公司), a company incorporated in China, with its registered office at Room No.111, 6F, International Commercial Plaza South Tower, No.1166, Haizhu District, Guangzhou, China.
Globex Sky reserves the right to modify these Terms at any time. We will provide notice of significant changes through the platform or via email. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
These Terms apply to all visitors, registered users, suppliers, buyers, carriers, and any other party who accesses or uses the Globex Sky platform in any capacity whatsoever.
2 Use of Services
Globex Sky provides a multi-sided B2B and B2C marketplace that connects buyers, suppliers, and logistics carriers globally. Our platform enables product discovery, trade facilitation, order management, payment processing, and shipment coordination. Use of any part of our Services constitutes acceptance of these Terms.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services in any manner that could damage, disable, overburden, or impair the platform or servers, or interfere with any other user's enjoyment of the Services.
Globex Sky reserves the right to restrict, suspend, or terminate access to the Services for any user who violates these Terms, engages in fraudulent activity, or whose continued use poses a risk to the platform or other users.
The Services are not available to persons under the age of 18, nor to any user previously suspended or removed by Globex Sky. By using the Services, you represent and warrant that you meet these eligibility requirements.
3 Account Registration
To access certain features of the platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up-to-date. Providing false information is grounds for immediate termination of your account.
You are responsible for safeguarding your account credentials, including your password. You agree not to disclose your password to any third party and to take sole responsibility for any activity that occurs under your account. You must notify Globex Sky immediately upon becoming aware of any unauthorized use of your account.
Globex Sky may require additional verification for certain account types, including business registration documents, identity verification, and bank account details. Failure to provide requested documentation may result in limited account functionality or suspension.
Each user may maintain only one active account per role type (buyer, supplier, or carrier). Creating multiple accounts to circumvent restrictions or abuse platform policies is strictly prohibited.
You may delete your account at any time via your account settings. Deletion may not immediately remove all data; data retention is subject to our Privacy Policy and applicable legal requirements.
4 Buyer Obligations
Buyers using Globex Sky agree to purchase goods or services in good faith, provide accurate shipping information, and fulfill all payment obligations in a timely manner. Fraudulent orders, chargebacks without legitimate cause, or abuse of buyer protections are grounds for account suspension.
Buyers are responsible for verifying that the products they purchase comply with all applicable import regulations, duties, and standards in their destination country. Globex Sky does not guarantee regulatory compliance for any specific market unless explicitly stated.
When submitting a Request for Quotation (RFQ), buyers must have genuine commercial intent. Submitting RFQs as market research without intent to purchase, or using the RFQ system to extract supplier pricing for competitive intelligence, is prohibited.
Buyers must raise any disputes regarding product quality, delivery, or misrepresentation within 30 days of receiving goods. Claims submitted outside this window may not be eligible for buyer protection.
5 Seller / Supplier Obligations
Suppliers registering on Globex Sky must accurately represent their business, products, certifications, and production capabilities. Misrepresentation of product quality, origin, or compliance certifications is a serious violation that may result in permanent account termination and legal action.
All products listed must comply with applicable international trade laws and regulations. Suppliers are solely responsible for ensuring their products do not infringe upon any third-party intellectual property rights and that they hold all required export licenses and certifications.
Suppliers agree to fulfill orders accepted on the platform within the agreed timeframes, maintain minimum order quantities as stated in their listings, and respond to buyer inquiries within 48 hours. Repeated failure to fulfill confirmed orders may result in suspension of selling privileges.
Globex Sky collects a platform commission on each completed transaction. The applicable commission rate is determined by the supplier's subscription plan and product category, as detailed in the current Pricing Schedule available in the supplier dashboard.
6 Carrier Obligations
Freight carriers and logistics providers registered on Globex Sky must hold all required licenses, insurance, and certifications to operate in their declared service regions. Proof of insurance coverage and relevant certifications must be submitted and kept current at all times.
Carriers agree to provide accurate transit times, handle shipments with due care, and promptly update shipment tracking information in the Globex Sky system. Failure to maintain real-time tracking updates may result in reduced platform visibility and potential removal from the carrier directory.
Carriers are responsible for any loss, damage, or delay caused by their actions or the actions of their subcontractors. Globex Sky's liability for carrier-related incidents is limited to the terms set forth in Section 11 of these Terms.
7 Prohibited Activities
The following activities are strictly prohibited on the Globex Sky platform. Violation of any of these provisions may result in immediate account suspension, termination, and potential legal proceedings:
- Listing, selling, or facilitating the trade of prohibited goods including counterfeit products, narcotics, weapons, hazardous materials, or any items restricted under international trade law.
- Engaging in price manipulation, bid rigging, or any form of anti-competitive behavior.
- Using automated bots, scrapers, or other non-human tools to access the platform without prior written consent.
- Attempting to bypass platform security measures, conduct phishing attacks, or introduce malware.
- Conducting transactions off-platform to circumvent Globex Sky's fee structure after initial contact was made via the platform.
- Harassing, threatening, or discriminating against any other user of the platform.
- Publishing false reviews, manipulating rating systems, or engaging in coordinated inauthentic behavior.
8 Intellectual Property
All content on the Globex Sky platform, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the exclusive property of Globex International Trade Co., Ltd. or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.
Users who upload product images, descriptions, or other content to Globex Sky grant the company a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and display such content in connection with the operation and promotion of the platform.
Users must not reproduce, duplicate, copy, sell, resell, or exploit any portion of the platform without express written permission from Globex Sky. Unauthorized use of the Globex Sky name, logo, or brand assets is strictly prohibited.
If you believe that any content on the platform infringes upon your intellectual property rights, please submit a takedown notice to our designated copyright agent at legal@globexsky.com with all required information as specified under applicable DMCA or equivalent local law provisions.
9 Payment & Fees
Globex Sky supports multiple payment methods including credit/debit cards, PayPal, wire transfer, and other methods as made available from time to time. All transactions are processed in USD unless otherwise specified. Currency conversion fees may apply and are the responsibility of the paying party.
Platform fees, including subscription plans, transaction commissions, and premium feature charges, are detailed in the current Pricing Schedule. Globex Sky reserves the right to modify its fee structure with 30 days' notice. Continued use of the platform after fee changes take effect constitutes acceptance of the new fee schedule.
Supplier payouts are processed within 7–14 business days following successful order fulfillment and buyer confirmation, subject to any applicable holds for disputes, regulatory compliance reviews, or account verification requirements.
All fees quoted are exclusive of applicable taxes, including VAT, GST, or sales tax. Users are responsible for determining and paying any applicable taxes on their transactions in accordance with local laws.
10 Dispute Resolution
Globex Sky provides an internal dispute resolution mechanism to help resolve conflicts between buyers and suppliers. Users are encouraged to first attempt to resolve disputes directly through the platform's messaging system before escalating to Globex Sky's mediation team.
If direct resolution is unsuccessful, either party may file a formal dispute within 30 days of the triggering event. Globex Sky's Trust & Safety team will review the dispute and may request additional documentation. A decision will typically be rendered within 10 business days of receiving all requested materials.
For disputes that cannot be resolved through our internal process, users agree to submit to binding arbitration under the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in London, England, conducted in the English language.
Nothing in these Terms shall prevent either party from seeking emergency injunctive or other equitable relief in any court of competent jurisdiction where such relief is necessary to preserve rights pending arbitration.
11 Limitation of Liability
To the maximum extent permitted by applicable law, Globex Sky, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Services.
Globex Sky's total cumulative liability to any user for all claims arising from or related to the use of the Services shall not exceed the greater of (a) the total fees paid by that user to Globex Sky in the twelve months preceding the claim, or (b) USD $100.
Globex Sky does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. The Services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, Globex Sky's liability will be limited to the fullest extent permitted by applicable law.
12 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Subject to the arbitration clause in Section 10, you agree to submit to the exclusive jurisdiction of the courts of England and Wales for any matters not subject to arbitration.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
These Terms, together with the Privacy Policy and any other legal notices published by Globex Sky, constitute the entire agreement between you and Globex Sky concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
